Thank you for considering working with me. These Terms of Service outline the working relationship, expectations, and policies for all web development projects. By engaging my services, you agree to these terms.

Services Provided
I offer the following web development services:
- Landing Pages: Single-page websites optimized for conversions
- Multi-Page Websites: Professional business websites with multiple pages and CMS integration
- Full Web Applications: Complex applications with backend functionality, databases, and user authentication
- Hourly Consulting: Technical consulting, code reviews, and development support
All services include design, development, copywriting, image sourcing, favicon creation, SEO optimization, and deployment unless otherwise specified.
Project Process
2.1 Discovery Phase
We'll discuss your project goals, requirements, timeline, and budget. I'll ask questions to understand your vision and provide recommendations.
2.2 Proposal & Agreement
After our discovery call, I'll provide:
- Detailed project scope
- Timeline estimate
- Total cost breakdown
- Payment schedule
Once you approve the proposal, we'll proceed with a signed agreement.
2.3 Development Phase
I'll design and develop your project with regular updates:
- Weekly progress updates via email or Discord
- Milestone check-ins for feedback
- Staging site access to review work in progress
2.4 Launch
Upon completion:
- Final review and testing period
- Client training (for CMS-based projects)
- Deployment to live environment
- Post-launch support as outlined in your package
Payment Terms
3.1 Payment Structure
- 50% deposit required before work begins
- 50% final payment due upon project completion, before launch
3.2 Accepted Payment Methods
- E-transfer (preferred for Canadian clients)
- PayPal
- Stripe
3.3 Late Payments
Final payments not received within 7 days of invoice date may result in:
- Suspension of hosting/services
- Late fees of $50 per week
- Legal collection action if necessary
3.4 Refund Policy
- Deposits are non-refundable once work has begun
- If I'm unable to complete the project, a prorated refund will be issued based on work completed
Client Responsibilities
To ensure timely project completion, clients agree to:
4.1 Content & Materials
- Provide requested content, materials, and information within agreed timelines
- Have rights to all content, images, and materials provided
- Review and approve designs and milestones promptly (within 5 business days)
4.2 Communication
- Respond to questions and requests within 3 business days
- Attend scheduled calls and meetings
- Provide constructive, consolidated feedback
4.3 Delays
Project timeline may be extended if:
- Client feedback is delayed beyond 5 business days
- Client requests significant scope changes
- Required content/materials are not provided on time
Revisions & Changes
5.1 Included Revisions
Each package includes a specific number of revision rounds:
- Landing Pages: 1 round
- Multi-Page Websites: 2 rounds
- Full Web Apps: 2 rounds
A "revision round" means feedback on all elements at a milestone. Multiple rounds of minor tweaks to the same elements may be considered additional revisions.
5.2 Scope Changes
Changes that fall outside the original project scope will be quoted separately and may affect timeline and cost. Examples include:
- Additional pages beyond agreed number
- New features not in original proposal
- Complete design direction changes
- Third-party integrations not originally discussed
5.3 Additional Revisions
Revisions beyond included rounds: $75/hour
Intellectual Property & Ownership
6.1 Client Ownership
Upon final payment, you own:
- Final website design and code
- Custom graphics and assets created specifically for your project
- Content and copy written for your project
6.2 Developer Rights
I retain the right to:
- Display the completed project in my portfolio
- Use the project as a case study
- Reuse general code, techniques, and approaches in future projects
6.3 Third-Party Assets
Some projects may use third-party resources (fonts, libraries, stock images). You're responsible for maintaining any required licenses.
6.4 Code Attribution
My code may include attribution comments in the source code. These should not be removed.
Hosting & Maintenance
7.1 Hosting
- I can assist with hosting setup (included in most packages)
- Ongoing hosting costs are the client's responsibility
- I recommend specific providers but final choice is yours
7.2 Post-Launch Support
Included support period varies by package:
- Landing Pages: 7 days
- Multi-Page Websites: 14 days
- Full Web Apps: 30 days
Support includes bug fixes and technical issues, not new features or content updates.
7.3 Ongoing Maintenance (Optional)
Monthly maintenance plans available starting at $200/month:
- Security updates
- Content changes (up to 2 hours)
- Performance monitoring
- Bug fixes
- Priority support
Warranties & Limitations
8.1 Quality Assurance
I guarantee:
- Code follows industry best practices
- Website is tested across major browsers and devices
- Website meets accessibility standards (WCAG 2.1 AA where possible)
- Website is optimized for performance
8.2 Limitations
I cannot guarantee:
- Specific search engine rankings or traffic
- Compatibility with future browser or technology updates
- Third-party service uptime or functionality
- Results from your use of the website
8.3 Third-Party Services
Projects using third-party services (payment processors, APIs, etc.) are subject to those services' terms and availability. I'm not responsible for third-party service failures.
Confidentiality
9.1 Your Information
I treat all client information as confidential and will not share:
- Business strategies or plans
- Proprietary information
- Unpublished content or designs
- Login credentials or sensitive data
9.2 Non-Disclosure Agreements
I'm happy to sign an NDA if required for your project.
Liability & Indemnification
10.1 Limitation of Liability
My total liability for any claim related to services provided is limited to the total amount paid for the project. I'm not liable for:
- Lost profits or business opportunities
- Data loss
- Third-party claims
- Consequential or indirect damages
10.2 Client Indemnification
You agree to indemnify me against claims arising from:
- Content you provide that infringes on third-party rights
- Your use of the delivered website
- Your violation of applicable laws
Project Cancellation
11.1 Client Cancellation
You may cancel the project at any time by providing written notice. In this case:
- Work completed to date will be invoiced at hourly rate ($75/hr)
- Deposit is non-refundable
- You'll receive files for work completed upon payment
11.2 Developer Cancellation
I reserve the right to cancel a project if:
- Client breaches these terms
- Client is abusive or unprofessional
- Project requirements conflict with my values
In this case, a prorated refund will be issued based on work completed.
Browser & Device Compatibility
Websites are tested and guaranteed to work on:
- Browsers: Latest versions of Chrome, Firefox, Safari, Edge
- Devices: Desktop, tablet, and mobile devices
- Operating Systems: Windows, macOS, iOS, Android
Support for Internet Explorer or older browser versions requires additional fees and must be specified upfront.
Content & Copyright
13.1 Client-Provided Content
You warrant that:
- You own or have rights to all content provided
- Content doesn't infringe on third-party rights
- Content is accurate and legal
13.2 Stock Resources
If stock images, fonts, or other resources are used, appropriate licenses will be obtained. Ongoing license costs (if any) are your responsibility.
Communication & Availability
14.1 Response Times
I aim to respond to messages within:
- Email/Discord: 24 hours (business days)
- Urgent issues: Same business day
14.2 Working Hours
I work asynchronously and communicate primarily via:
- Discord
- Video calls (scheduled in advance)
I'm based in Toronto (EST/EDT timezone).
Force Majeure
I'm not liable for delays or failures caused by circumstances beyond reasonable control, including:
- Natural disasters
- Pandemics
- Internet/hosting provider outages
- Third-party service failures
- Government restrictions
Disputes & Governing Law
16.1 Good Faith Resolution
If any dispute arises, we agree to first attempt resolution through good-faith discussion.
16.2 Governing Law
These terms are governed by the laws of Ontario, Canada.
16.3 Arbitration
If we can't resolve a dispute informally, we agree to binding arbitration rather than court proceedings.
Changes to Terms
I reserve the right to update these terms at any time. Changes will be posted with a new "Last Updated" date. Existing projects will be governed by the terms in effect when the project began.
Acceptance
By engaging my services, you acknowledge that you've read, understood, and agree to these Terms of Service.
